  400. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING THE SOFTWARE.
  401. BY INSTALLING AND USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE 
  402. TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  403. AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. PROMPTLY RETURN, 
  404. WITHIN 15 DAYS, THE SOFTWARE, ALL RELATED DOCUMENTATION AND 
  405. ACCOMPANYING ITEMS TO THE PLACE OF ACQUISITION FOR A REFUND.

  407. This is a legal agreement between you and Creative Technology Ltd. 
  408. and its subsidiaries ("Creative"). This Agreement states the terms 
  409. and conditions upon which Creative offers to license the software 
  410. sealed in the disk package together with all related documentation 
  411. and accompanying items including, but not limited to, the 
  412. executable programs, drivers, libraries and data files associated 
  413. with such programs (collectively, the "Software").
  414.  
  415. LICENSE
  416. 1.    Grant of License
  417.       The Software is licensed, not sold, to you for use only 
  418.       under the terms of this Agreement. You own the disk or other 
  419.       media on which the Software is originally or subsequently 
  420.       recorded or fixed; but,as between you and Creative (and, to 
  421.       the extent applicable, its licensors), Creative retains all 
  422.       title to and ownership of the Software and reserves all 
  423.       rights not expressly granted to you. The license under this 
  424.       Section 1 is conditioned upon your compliance with all of 
  425.       your obligations under this Agreement. Creative grants to you 
  426.       the right to use all or a portion of this Software provided that 
  427.       (a)  the Software is not distributed for profit; 
  428.       (b)  the Software is used only in conjunction with Creative's 
  429.            family of products; 
  430.       (c)  the Software may NOT be modified;
  431.       (d)  all copyright notices are maintained on the Software; and 
  432.       (e)  the licensee/end-user agrees to be bound by the terms of 
  433.            this agreement. 
  434.  
  435. 2.    For Use on a Single Computer
  436.       The Software may be used only on a single computer by a 
  437.       single user at any time. You may transfer the machine-readable 
  438.       portion of the Software from one computer to another computer, 
  439.       provided that 
  440.       (a)  the Software (including any portion or copy thereof) is 
  441.            erased from the first computer and 
  442.       (b)  there is no possibility that the Software will be used on 
  443.            more than one computer at a time.
  444.  
  445. 3.    Stand-Alone Basis
  446.       You may use the Software only on a stand-alone basis, such 
  447.       that the Software and the functions it provides are accessible 
  448.       only to persons who are physically present at the location of the 
  449.       computer on which the Software is loaded. You may not allow the 
  450.       Software or its functions to be accessed remotely, or transmit 
  451.       all or any portion of the Software through any network or 
  452.       communication line.
  453.  
  454. 4.    Copyright
  455.       The Software is owned by Creative and/or its licensors and is 
  456.       protected by United States copyright laws and international 
  457.       treaty provisions. You may not remove the copyright notice 
  458.       from any copy of the Software or any copy of the written 
  459.       materials, if any, accompanying the Software.
  460.  
  461. 5.    One Archival Copy
  462.       You may make one (1) archival copy of the machine-readable 
  463.       portion of the Software for backup purposes only in support 
  464.       of your use of the Software on a single computer, provided 
  465.       that you reproduce on the copy all copyright and other 
  466.       proprietary rights notices included on the originals of the 
  467.       Software.
  468.  
  469. 6.    No Merger or Integration
  470.       You may not merge any portion of the Software into, or 
  471.       integrate any portion of the Software with, any other 
  472.       program, except to the extent expressly permitted by the 
  473.       laws of the jurisdiction where you are located. Any portion 
  474.       of the Software merged into or integrated with another 
  475.       program, if any, will continue to be subject to the terms 
  476.       and conditions of this Agreement, and you must reproduce on 
  477.       the merged or integrated portion all copyright and other 
  478.       proprietary rights notices included in the originals of 
  479.       the Software.
  480.  
  481. 7.    Network Version
  482.       If you have purchased a "network" version of the Software, 
  483.       this Agreement applies to the installation of the Software 
  484.       on a single "file server". It may not be copied onto 
  485.       multiple systems. Each "node" connected to the "file server" 
  486.       must also have its own license of a "node copy" of the 
  487.       Software, which becomes a license only for that specific 
  488.       "node".
  489.     
  490. 8.    Transfer of License
  491.       You may transfer your license of the Software, provided that 
  492.       (a)  you transfer all portions of the Software or copies 
  493.            thereof, 
  494.       (b)  you do not retain any portion of the Software or any 
  495.            copy thereof, and 
  496.       (c)  the transferee reads and agrees to be bound by the 
  497.            terms and conditions of this Agreement.
  498.  
  499. 9.    Limitations on Using, Copying, and Modifying the Software
  500.       Except to the extent expressly permitted by this Agreement 
  501.       or by the laws of the jurisdiction where you acquired the 
  502.       Software, you may not use, copy or modify the Software. Nor 
  503.       may you sub-license any of your rights under this Agreement. 
  504.       You may use the software for your personal use only, and not 
  505.       for public performance or for the creation of publicly 
  506.       displayed videotapes.
  507.     
  508. 10.   Decompiling, Disassembling, or Reverse Engineering.
  509.       You acknowledge that the Software contains trade secrets and 
  510.       other proprietary information of Creative and its licensors. 
  511.       Except to the extent expressly permitted by this Agreement 
  512.       or by the laws of the jurisdiction where you are located, 
  513.       you may not decompile, disassemble or otherwise reverse 
  514.       engineer the Software, or engage in any other activities to 
  515.       obtain underlying information that is not visible to the 
  516.       user in connection with normal use of the Software.
  517.  
  518.       In particular, you agree not for any purpose to transmit the 
  519.       Software or display the Software's object code on any 
  520.       computer screen or to make any hardcopy memory dumps of the 
  521.       Software's object code. If you believe you require 
  522.       information related to the interoperability of the Software 
  523.       with other programs, you shall not decompile or disassemble 
  524.       the Software to obtain such information, and you agree to 
  525.       request such information from Creative at the address listed 
  526.       below. Upon receiving such a request, Creative shall 
  527.       determine whether you require such information for a 
  528.       legitimate purpose and, if so, Creative will provide such 
  529.       information to you within a reasonable time and on 
  530.       reasonable conditions.
  531.     
  532.       In any event, you will notify Creative of any information 
  533.       derived from reverse engineering or such other activities, 
  534.       and the results thereof will constitute the confidential 
  535.       information of Creative that may be used only in connection 
  536.       with the Software.
  537.  
  538. 11.   For Software With CDDB Features.
  539.       This application may contain software from CDDB, Inc. of 
  540.       Berkeley, California d/b/a Gracenote ("Gracenote"). The 
  541.       software from Gracenote (the "Gracenote CDDB Client") 
  542.       enables the application to do online disc identification 
  543.       and obtain music-related information, including name, 
  544.       artist, track, and title information ("Gracenote Data") 
  545.       from online servers ("Gracenote CDDB Servers") and to 
  546.       perform other functions.  You may use Gracenote Data 
  547.       only by means of the intended End User functions of the 
  548.       application software.
  549.  
  550.       You agree that you will use Gracenote Data, the Gracenote 
  551.       CDDB Client, and Gracenote CDDB Servers for your own 
  552.       personal non-commercial use only. You agree not to 
  553.       assign, copy, transfer or transmit the Gracenote CDDB 
  554.       Client or any Gracenote Data to any third party. YOU 
  555.       AGREE NOT TO USE OR EXPLOIT GRACENOTE DATA, THE 
  556.       GRACENOTE CDDB CLIENT, OR GRACENOTE CDDB SERVERS, 
  557.       EXCEPT AS EXPRESSLY PERMITTED HEREIN.
  558.  
  559.       You agree that your non-exclusive license to use the 
  560.       Gracenote Data, the Gracenote CDDB Client, and Gracenote 
  561.       CDDB Servers will terminate if you violate these 
  562.       restrictions. If your license terminates, you agree to 
  563.       cease any and all use of the Gracenote Data, the 
  564.       Gracenote CDDB Client, and Gracenote CDDB Servers. 
  565.       Gracenote reserves all rights in Gracenote Data, the 
  566.       Gracenote CDDB Client, and the Gracenote CDDB Servers, 
  567.       including all ownership rights. You agree that CDDB, 
  568.       Inc. may enforce its rights under this Agreement against 
  569.       you directly in its own name.
  570.       
  571.       The Gracenote CDDB Client and each item of Gracenote 
  572.       Data are licensed to you "AS IS." Gracenote makes no 
  573.       representations or warranties, express or implied, 
  574.       regarding the accuracy of any Gracenote Data from in 
  575.       the Gracenote CDDB Servers. Gracenote reserves the 
  576.       right to delete data from the Gracenote CDDB Servers 
  577.       or to change data categories for any cause that 
  578.       Gracenote deems sufficient. No warranty is made that 
  579.       the Gracenote CDDB Client or Gracenote CDDB Servers 
  580.       are error-free or that functioning of Gracenote CDDB 
  581.       Client or Gracenote CDDB Servers will be uninterrupted. 
  582.       Gracenote is not obligated to provide you with any new 
  583.       enhanced or additional data types or categories that 
  584.       Gracenote may choose to provide in the future and is 
  585.       free to discontinue its online services at any time.
  586.  
  587.       GRACENOTE DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, 
  588.       INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF 
  589.       MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, 
  590.       TITLE, AND NON-INFRINGEMENT. Gracenote does not warrant 
  591.       the results that will be obtained by your use of the 
  592.       Gracenote CDDB Client or any Gracenote CDDB Server. IN NO 
  593.       CASE WILL GRACENOTE BE LIABLE FOR ANY CONSEQUENTIAL 
  594.       OR INCIDENTAL DAMAGES OR FOR ANY LOST PROFITS OR 
  595.       LOST REVENUES.
  596.  
  597. TERMINATION
  598. The license granted to you is effective until terminated. You may 
  599. terminate it at any time by returning the Software (including any 
  600. portions or copies thereof) to Creative. The license will also 
  601. terminate automatically without any notice from Creative if you 
  602. fail to comply with any term or condition of this Agreement. You 
  603. agree upon such termination to return the Software (including any 
  604. portions or copies thereof) to Creative. Upon termination, 
  605. Creative may also enforce any rights provided by law. The 
  606. provisions of this Agreement that protect the proprietary rights 
  607. of Creative will continue in force after termination.
  608.  
  609. NO WARRANTY
  610. Creative does not warrant that the functions contained in the 
  611. Software will meet your requirements or that the operation of the 
  612. Software will be uninterrupted, error-free or free from malicious 
  613. code. For purposes of this paragraph, "malicious code" means any 
  614. program code designed to contaminate other computer programs or 
  615. computer data, consume computer resources, modify, destroy, 
  616. record, or transmit data, or in some other fashion usurp the 
  617. normal operation of the computer, computer system, or computer 
  618. network, including viruses, Trojan horses, droppers, worms, logic 
  619. bombs, and the like. 
  620.  
  621. INDEMNIFICATION BY YOU
  622. If you distribute the Software in violation of this Agreement, you 
  623. hereby indemnify, hold harmless and defend Creative from and 
  624. against any and all claims or lawsuits, including attorney's fees 
  625. and costs that arise, result from or are connected with the use or 
  626. distribution of the Software in violation of this Agreement.
  627.  
  628. THE SOFTWARE IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, 
  629. EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY 
  630. IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A 
  631. PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. CREATIVE IS NOT 
  632. OBLIGATED TO PROVIDE ANY UPDATES, UPGRADES OR TECHNICAL SUPPORT 
  633. FOR THE SOFTWARE.
  634.  
  635. Further, Creative shall not be liable for the accuracy of any 
  636. information provided by Creative or third party technical support 
  637. personnel, or any damages caused, either directly or indirectly, 
  638. by acts taken or omissions made by you as a result of such 
  639. technical support.
  640.  
  641. You assume full responsibility for the selection of the Software 
  642. to achieve your intended results, and for the installation, use 
  643. and results obtained from the Software. You also assume the entire 
  644. risk as it applies to the quality and performance of the Software. 
  645. Should the Software prove defective, you (and not Creative, or its 
  646. distributors or dealers) assume the entire cost of all necessary 
  647. servicing, repair or correction.
  648.  
  649. Some countries/states do not allow the exclusion of implied 
  650. warranties, so the above exclusion may not apply to you. Creative 
  651. disclaims all warranties of any kind if the Software was customized, 
  652. repackaged or altered in any way by any third party other than 
  653. Creative.
  654.  
  655. LIMITATION OF REMEDIES AND DAMAGES
  656. IN NO EVENT WILL CREATIVE OR ITS LICENSORS BE LIABLE FOR ANY 
  657. INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR 
  658. ANY BODILY INJURY (INCLUDING DEATH) TO ANY PERSONS CAUSED BY 
  659. CREATIVE'S NEGLIGENCE, OR FOR ANY LOST PROFITS, LOST SAVINGS, 
  660. LOSS OF USE, LOST REVENUES OR LOST DATA ARISING FROM OR RELATING 
  661. TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF CREATIVE OR ITS 
  662. LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
  663. IN NO EVENT WILL CREATIVE'S LIABILITY OR DAMAGES TO YOU OR ANY 
  664. OTHER PERSON EVER EXCEED THE AMOUNT PAID BY YOU TO USE THE 
  665. SOFTWARE, REGARDLESS OF THE FORM OF THE CLAIM.
  666.  
  667. Some countries/states do not allow the limitation or exclusion of 
  668. liability for incidental or consequential damages, so the above 
  669. limitation or exclusion may not apply to you.
  670.  
  671. PRODUCT RETURNS
  672. IF YOU MUST SHIP THE SOFTWARE TO CREATIVE OR AN AUTHORIZED 
  673. Creative DISTRIBUTOR OR DEALER, YOU MUST PREPAY SHIPPING AND 
  674. EITHER INSURE THE SOFTWARE OR ASSUME ALL RISK OF LOSS OR DAMAGE 
  675. IN TRANSIT.

  677. U.S. GOVERNMENT RESTRICTED RIGHTS
  678. All Software and related documentation are provided with 
  679. restricted rights. Use, duplication or disclosure by the U.S. 
  680. Government is subject to restrictions as set forth in subdivision 
  681. (b)(3)(ii) of the Rights in Technical Data and Computer Software 
  682. Clause at 252.227-7013. If you are sub-licensing or using the 
  683. Software outside of the United States, you will comply with the 
  684. applicable local laws of your country, U.S. export control law, 
  685. and the English version of this Agreement.

  695. This Agreement is binding on you as well as your employees,

  697. assignees. Neither the Software nor any information derived 
  698. therefrom may be exported except in accordance with the laws of 
  699. the U.S. or other applicable provisions. This Agreement is governed 
  700. by the laws of the State of California (except to the extent federal 
  701. law governs copyrights and federally registered trademarks). This 
  702. Agreement is the entire agreement between us and you agree that 
  703. Creative will not have any liability for untrue statement or 
  704. representation made by it, its agents or anyone else (whether 
  705. innocently or negligently) upon which you relied upon entering this 
  706. Agreement, unless such untrue statement or representation was made 
  707. fraudulently. This Agreement supersedes any other understandings or 
  708. agreements, including, but not limited to, advertising, with 
  709. respect to the Software. If any provision of this Agreement is 
  710. deemed invalid or unenforceable by any country or government agency 
  711. having jurisdiction, that particular provision will be deemed 
  712. modified to the extent necessary to make the provision valid and 
  713. enforceable, and the remaining provisions will remain in full force 
  714. and effect.
  715.

  718. matters, contact the Creative technical support center nearest you.
  719.  
  720. This package may include software with DVD-Audio functionality for 
  721. you to play content-protected DVD-Audio discs. The functionality 
  722. of this Software may be lost if the content protection system is 
  723. compromised. In this event, your sole remedy to restore such 
  724. functionality is to download a product update from Creative's 
  725. website, of if you do not have internet access, Creative will use 
  726. commercially reasonable means to provide replacement software.
  727.  
  728. ADDENDUM TO THE MICROSOFT SOFTWARE LICENSE AGREEMENT
  729. ====================================================
  730. IMPORTANT: By using the Microsoft software files (the "Microsoft 
  731. Software") provided with this Addendum, you are agreeing to be 
  732. bound by the following terms. If you do not agree to be bound by 
  733. these terms, you may not use the Microsoft Software.
  734.  
  735. The Microsoft Software is provided for the sole purpose of 
  736. replacing the corresponding files provided with a previously 
  737. licensed copy of the Microsoft software product ("ORIGINAL 
  738. PRODUCT"). Upon installation, the Microsoft Software files become 
  739. part of the ORIGINAL PRODUCT and are subject to the same warranty 
  740. and license terms and conditions as the ORIGINAL PRODUCT. If you do 
  741. not have a valid license to use the ORIGINAL PRODUCT, you may not 
  742. use the Microsoft Software. Any other use of the Microsoft Software 
  743. is prohibited.
  744.  
  745. Nothing in this Agreement shall be construed on the part of 
  746. Creative as advocating or authorizing the infringement of local 
  747. and/or international laws applicable to your jurisdiction.
  748.  
  749. DRM ADDENDUM TO THE MICROSOFT WMFSDK9 SERIES AGREEMENT
  750. ======================================================
  751. Content providers are using the Microsoft digital rights management 
  752. technology for Windows Media distributed with this software ("WM-DRM") 
  753. to protect the integrity of their content ("Secure Content") so that 
  754. their intellectual property, including copyright, in such content is 
  755. not misappropriated.  Portions of this software and other third party 
  756. applications use WM-DRM to play Secure Content ("WM-DRM Software"). 
  757. If the WM-DRM Software's security has been compromised, owners of 
  758. Secure Content ("Secure Content Owners") may request that Microsoft 
  759. revoke the WM-DRM Software's right to copy, display and/or play 
  760. Secure Content. Revocation does not alter the WM-DRM Software's 
  761. ability to play unprotected content. A list of revoked WM-DRM 
  762. Software is sent to your computer whenever you download a license 
  763. for Secure Content from the Internet. Microsoft may, in conjunction 
  764. with such license, also download revocation lists onto your computer 
  765. on behalf of Secure Content Owners. Secure Content Owners may also 
  766. require you to upgrade some of the WM-DRM components distributed 
  767. with this software ("WM-DRM Upgrades") before accessing their content. 
  768. When you attempt to play such content, WM-DRM Software built by 
  769. Microsoft will notify you that a WM-DRM Upgrade is required and then 
  770. ask for your consent before the WM-DRM Upgrade is downloaded. 
  771. Non-Microsoft WM-DRM Software may do the same. If you decline the 
  772. upgrade, you will not be able to access content that requires the 
  773. WM-DRM Upgrade; however, you will still be able to access unprotected 
  774. content and Secure Content that does not require the upgrade. WM-DRM 
  775. features that access the Internet, such as acquiring new licenses 
  776. and/or performing a required WM-DRM Upgrade, can be switched off. 
  777. When these features are switched off, you will still be able to play 
  778. Secure Content if you have a valid license for such content already 
  779. stored on your computer.
  780.  
  781. SPECIAL PROVISIONS APPLICABLE TO THE EUROPEAN UNION
  782. ===================================================
  783. If you acquired the Software in the European Union (EU), the 
  784. following provisions also apply to you. If there is any 
  785. inconsistency between the terms of the Software License Agreement 
  786. set out EARLIER and IN the following provisions, the following 
  787. provisions shall take precedence.
  788.  
  789. Decompilation
  790. You agree not for any purpose to transmit the Software or display 
  791. the Software's object code on any computer screen or to make any 
  792. hard copy memory dumps of the Software's object code. If you 
  793. believe you require information related to the interopretability 
  794. of the Software with other programs, you shall not decompile or 
  795. disassemble the Software to obtain such information, and you agree 
  796. to request such information from Creative at the address listed 
  797. earlier. Upon receiving such a request, Creative shall determine 
  798. whether you require such information for a legitimate purpose and, 
  799. if so, Creative will provide such information to you within a 
  800. reasonable time and on reasonable conditions.
  801.  
  802. Limited Warranty
  803. EXCEPT AS STATED EARLIER IN THIS AGREEMENT, AND AS PROVIDED UNDER 
  804. THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS PROVIDED AS-IS 
  805. WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, 
  806. BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF 
  807. MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, 
  808. TITLE OR NONINFRINGEMENT.

  810. Limitation of Remedy and Damages
  811. THE LIMITATIONS OF REMEDIES AND DAMAGES IN THE SOFTWARE LICENSE 
  812. AGREEMENT SHALL NOT APPLY TO PERSONAL INJURY (INCLUDING DEATH) TO 
  813. ANY PERSON CAUSED BY CREATIVE'S NEGLIGENCE AND ARE SUBJECT TO THE 
  814. PROVISION SET OUT UNDER THE HEADING "STATUTORY RIGHTS".

  816. Statutory rights
  817. Irish law provides that certain conditions and warranties may be 
  818. implied in contracts for the sale of goods and in contracts for the 
  819. supply of services. Such conditions and warranties are hereby 
  820. excluded, to the extent such exclusion, in the context of this 
  821. transaction, is lawful under Irish law. Conversely, such conditions 
  822. and warranties, insofar as they may not be lawfully excluded, shall 
  823. apply. Accordingly nothing in this Agreement shall prejudice any 
  824. rights that you may enjoy by virtue of Sections 12, 13, 14 or 15 
  825. of the Irish Sale of Goods Act 1893 (as amended).

  828. This Agreement is governed by the laws of the Republic of Ireland. 
  829. The local language version of this agreement shall apply to 
  830. Software acquired in the EU. This Agreement is the entire agreement 
  831. between us, and you agree that Creative will not have any liability 
  832. for any untrue statement or representation made by it, its agents 
  833. or anyone else (whether innocently or negligently) upon which you 
  834. relied upon entering this Agreement, unless such untrue statement 
  835. or representation was made fraudulently.

  837. Copyright Information for users of Creative products
  838. Certain Creative products are designed to assist you in reproducing 
  839. material for which you own the copyright or are authorized to copy 
  840. by the copyright owner or by exemption in applicable law. Unless 
  841. you own the copyright or have such authorization, you may be 
  842. violating copyright law and may be subject to payment of damages 
  843. and other remedies. If you are uncertain about your rights, you 
  844. should contact your legal advisor. It is your responsibility when 
  845. using a Creative product to ensure there is no infringement of 
  846. applicable laws on copyright whereby the copying of certain 
  847. materials may require the prior consent of the copyright owners.

  849. the Creative product and Creative shall in no event be liable with

  853. media) or broadcasting via Internet or other networks, such as but

  855. applications, is not authorized and/or licensed (see also
